Bad Rollover Text: A Duke cannot vassalize a Count

When a count is a vassal of another Duke, the option to offer vassalization to them is greyed out. Likely this is due to their loyalty not being low enough to be willing to switch.

However, it says, "A Duke Cannot Vassalize A Count"

That's wrong, because I've offered a vassalage as a Duke to a Count before.

The rollover text needs to be a bit more specific as to why it's greyed.

I agree. This is a text issue, however, and may be a problem with getting done due to translation issues and such.
